This Memorandum of Understanding ("MoU") is entered into between Kahf Kids ("the Provider") and [Company Name] ("the Partner") to establish the terms and conditions of a Corporate Wellness Partnership.
Kahf Kids is a leading safe edutainment platform for Muslim children, serving 300,000+ families with 30,000+ mufti-verified, COPPA-compliant videos, parental control features, educational courses, and daily Qur'an access across Android, iOS, Web, and TV platforms.
The purpose of this partnership is to provide the Partner's employees and their families with Kahf Kids Corporate Pack benefits, supporting their digital parenting journey and contributing to employee wellness and retention.
Under this agreement, the Provider shall deliver the Corporate Pack to the Partner's eligible employees, including:
The Corporate Pack shall be available on a subscription basis. The Partner may choose a Monthly Plan (৳119 per employee per month) or a Yearly Plan (৳990 per employee per year, saving 31%). Pricing is per employee and covers all benefits listed in Section 3.
The Corporate Pack is available for a minimum of 10 employees. For 50+ employees, custom enterprise pricing and dedicated support shall apply. The Partner shall provide a verified employee count at the time of enrollment and update it quarterly.
For Monthly plans: Invoices shall be generated at the beginning of each month with a 15-day payment window. For Yearly plans: Full payment shall be invoiced at the start of the subscription period. Late payments beyond 30 days may result in service suspension. All amounts are in Bangladeshi Taka (BDT) and are exclusive of applicable taxes.
The Provider shall maintain strict confidentiality of all employee data collected during enrollment and service delivery. Data shall be processed in compliance with applicable Bangladeshi data protection regulations. The Provider shall not share, sell, or disclose employee data to third parties without explicit written consent. Children's data shall receive enhanced protection under COPPA compliance standards.
This MoU shall be effective for an initial period of twelve (12) months from the date of signing. The agreement shall automatically renew for successive 12-month periods unless either party provides written notice of non-renewal at least sixty (60) days prior to the end of the current term.
Either party may terminate this agreement with ninety (90) days written notice. In the event of termination:
All intellectual property related to the Kahf Kids platform, including content, technology, branding, and course materials, remains the sole property of the Provider. The Partner is granted a non-exclusive, non-transferable license to use Kahf Kids branding solely for co-branded events and internal communications related to this partnership.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of this partnership. This includes business strategies, pricing structures, employee data, and internal communications. This obligation shall survive termination of this agreement for a period of two (2) years.
Any disputes arising from this agreement shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to mediation. If mediation fails, disputes shall be resolved through arbitration under the rules of the Bangladesh Arbitration Act, with proceedings held in Dhaka.
This agreement may only be amended through written consent signed by authorized representatives of both parties.
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or pandemics.
This agreement shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
This MoU, together with any schedules or amendments, constitutes the entire agreement between the parties regarding the subject matter herein.
IN WITNESS WHEREOF, the parties have executed this Memorandum of Understanding as of the date first written above.
